Terms of service
These are the terms on which Sales Outreacher may be used. They are written to be read rather than survived, and every figure in them matches what the product actually does.
Who may use it
Sales Outreacher is for businesses. You need authority to accept these terms on behalf of the organisation you are signing up for, and you must be old enough to enter a contract. It is not for personal use and not for anyone under 18.
Your account
You are responsible for what happens under your account, including anything done by people you invite into it. Keep your password to yourself, and tell us promptly if you think somebody else has it.
The free trial
A new account starts with a free trial. Its length, and the limits that apply during it, are shown when you sign up and on salesoutreacher.com. Whatever you were shown at sign-up is what applies to your account for the whole of your trial, even if we change the trial for later customers.
During the trial you have the whole product, with nothing held back except those limits. Marketing users, who never see a contact, do not count towards them.
No card is needed to start and nothing is charged when the trial ends. What happens instead is that the account becomes read only, which is described below.
What it costs
Sales Outreacher is sold per seat, per month. Current prices are shown on salesoutreacher.com and again at checkout before you pay, and are quoted inclusive of VAT.
The price that applies to you is the one shown to you when you subscribed, and it is recorded on every invoice you receive.
The amount fixed for the life of your subscription is the figure before VAT, which appears on your invoices. VAT is added at the rate in force at the time, because we do not set tax rates and will not promise one.
- You pay for the people who work with contacts. Admin, Management and Sales seats are charged. Marketing seats are free and uncapped, because a Marketing user cannot see, own or email a contact.
- Seats are bought, then given to users. You can own more seats than you have filled. You cannot put somebody in a paid seat you have not bought.
- Buying a seat part way through a billing cycle is charged pro rata, so you pay for the days to your next billing cycle.
- Giving a seat back is not refunded. It runs to the end of the billing cycle you have already paid for, and the smaller amount applies from your next invoice. We do not charge you for days you have not had, and we do not refund days you have.
The price you join on
Sales Outreacher is sold in bands. A band is open for a limited number of accounts or a limited period, whichever ends first. Which band is open, how much of it is left and when it closes are shown on salesoutreacher.com at all times, and the band open on the day you subscribe is the price you keep.
- Your price is set when you subscribe, not when you sign up. Signing up and thinking about it does not hold a price.
- It applies to every seat you ever add, however large you grow, for as long as you have a continuous paid subscription.
- A gap of a month or more ends it. Come back after that and you join at whatever price is current then. A failed payment that is put right while your subscription is still running is not a gap.
- Prices shown on the website are the prices available to new customers at that moment. They are not an offer to change the price of an existing subscription, in either direction.
Changing the price
If we change the price of a subscription that is not on a fixed band price, we will give you 90 days notice in writing before it takes effect, and you may cancel before then without penalty.
Payment
Payment is by card, taken in advance at the start of each monthly billing cycle by Stripe. We never see or hold your card details. Stripe issues a VAT invoice for every payment, and you can download all of them yourself at any time from the billing screen.
Our VAT number is 242205058. Customers outside the United Kingdom who supply a valid VAT registration number are invoiced under the reverse charge where it applies, and the price shown to them excludes UK VAT accordingly.
If a payment fails
Nothing stops immediately. Stripe retries over roughly two weeks and we will be notified by email. Fix the card inside that window and nothing is interrupted, including your band price.
If it is still unpaid when that window ends, the account becomes read only.
Read only, and what it means
An account is read only when the free trial has ended without a subscription, when payment has failed and the retries have run out, or when a subscription has been cancelled. All three work the same way:
- Nothing is deleted. Every screen still opens and everything you built is still there.
- Nothing is sent. Campaigns already running are held where they stand. They are not unwound and nobody is emailed.
- Paying starts it again. Held campaigns resume from the point they reached. Steps that fell due while the account was held do not all fire at once: the next step becomes due when you pay, and the rest space out normally from there.
Cancelling
You can cancel at any time from the billing screen. Your subscription runs to the end of the billing cycle you have paid for, and is not refunded for the remainder. After that the account is read only.
We may end or suspend your access if these terms are breached, and we will tell you why. If we withdraw the product entirely we will give you reasonable notice and refund any period you have paid for and will not receive.
What you may not do with it
- Send anything unlawful, deceptive, threatening, or designed to look like it came from somebody else.
- Upload or import purchased, rented or scraped contact lists in bulk. This product exists to send one considered email to one person at a time, and the contact record keeps the page each person was found on precisely so that stays true.
- Ignore somebody who has asked not to be contacted, or try to work around the mechanism that records it.
- Attempt to reach data belonging to another customer, or to test our systems uninvited.
We may suspend an account that is doing any of these.
Who is responsible for the emails you send
You are. You decide who to contact and on what basis, and you are the data controller for the people in your account. In the UK that means the Privacy and Electronic Communications Regulations and the UK GDPR apply to what you send, and the rules differ depending on whether the recipient is a limited company or a sole trader.
We build the tools that make compliance possible: a working way for a recipient to stop all contact, a record of where every contact came from, and a suppression list that survives deletion. We cannot judge whether a particular email is lawful, and we do not.
Your mailbox
If you connect a mailbox, you are giving us permission to send as you and to look for replies. You can withdraw that at any time from within the product, and separately at your provider. Your provider’s own limits apply. We cannot raise them, and a campaign that exceeds them will slow down rather than push through.
Availability
We will try to keep it running, but there is no uptime guarantee. If it is unavailable for a prolonged period, we will not expect you to pay for time you could not use.
Your data
Your data is yours. We do not sell it, do not use it for advertising and do not train anything on it. The privacy policy explains what we hold and for how long. You can export your contacts at any time while your account is active, and you can ask us for a copy before it is deleted.
After an account ends, the contacts in it are erased after 90 days. That is one way and cannot be undone, because those are the details of people who never had dealings with us and we held them only while you were paying us to. Everything else, your campaigns, your sequences, your signature and your team, is kept for 12 months, so that coming back inside a year means finding your own work where you left it rather than starting again. After that it goes too. The one exception is the record of what you were invoiced and paid, which UK company law requires us to keep for six years from the end of the financial year it relates to. That record holds your company name, account identifier and payment history. It holds none of your contacts.
Liability
Nothing here limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
Beyond that, neither of us is liable to the other for loss of profit, loss of business, loss of anticipated savings, loss of goodwill, or any indirect or consequential loss. Our total liability to you in any twelve month period is limited to the amount you paid us for the product in the twelve months before the claim arose.
We are not liable for the consequences of the emails you choose to send, for the decisions of your mailbox provider, or for a recipient’s response to being contacted. Those are yours.
Changes to these terms
If we change these terms in a way that affects you, you will be notified 30 days prior to any changes. For changes that reduce what you get or increase what you pay, you will be notified at least 90 days prior.
Law
These terms are governed by Scots law, and the courts of Scotland have jurisdiction.
